Ustawa potocznie nazywana Ustawą AML wprowadziła obowiązek w 2019 roku rejestracji Beneficjentów Rzeczywistych (BR) w nowym Centralnym Rejestrze Beneficjentów Rzeczywistych. Brzmi dość niezrozumiale i nie wszyscy wiedzą kim jest w rzeczywistości ten beneficjent rzeczywisty. Wymóg jest, ale jak go spełnić jak nie wiadomo o kogo chodzi? Jako że świadczymy usługi z zakresu wsparcia w wypełnieniu jednego z wymogów art. 34 ustawy AML w zakresie wsparcia w identyfikacji beneficjenta rzeczywistego i dokonania zgłoszeń spróbujemy Państwu przybliżyć ten temat. Zgodnie ze znowelizowanymi przepisami instytucje obowiązane muszą dołożyć możliwej należytej staranności przy ustalaniu beneficjenta rzeczywistego. My oferujemy wsparcie w zakresie procesu identyfikacji BR, a także w procesie rejestracji. Beneficjentem rzeczywistym zawsze jest osoba fizyczna lub osoby fizyczne. Posiadające uprawnienia, wynikające z uwarunkowań prawnych lub faktycznych. Osoby te sprawują bezpośrednio lub pośrednio kontrolę nad podmiotem gospodarczym zobowiązanym do wpisu w CRBR. Definicja jest dość zagmatwana, ale także wchodząc w temat głębiej okazuje się, że ta identyfikacja nie jest taka trudna. Najprościej mówiąc chodzi o osoby, które, dzięki swoim uprawnieniom, mają możliwość wywierania decydującego wpływu. Wpływu na czynności albo działania podejmowane przez podmiot gospodarczy.
Nie zawsze będzie to każdy ze wspólników danego podmiotu
Wydawać by się mogło, że osobami mającymi wpływ na podmioty gospodarcze będą wspólnicy, akcjonariusze, zarządy firm itp. Niekoniecznie. Przykładowo, w spółce akcyjnej jest trzech akcjonariuszy. Akcjonariusz nr 1 posiada 51% akcji, akcjonariusz nr 2 posiada 25% akcji, a akcjonariusz nr 3 posiada 24% akcji. – Beneficjentem rzeczywistym w tej spółce będzie tylko akcjonariusz nr 1. Dlatego, że akcjonariusz nr 1 posiada większościowy pakiet akcji, więc to od niego zawsze będzie zależało jakie działania wykona dana spółka. Innym przykładem pozwalającym zrozumieć zasady BR jest spółka z o. o. Załóżmy, że w spółce z ograniczoną odpowiedzialnością jest czterech wspólników o równej wielkości udziałów w spółce. Wspólnik nr 1 dodatkowo wykonuje prawo głosu, co do 10% udziałów w spółce wspólnika nr 2. Beneficjentem rzeczywistym w tej spółce będzie tylko wspólnik nr 1. Znowu to ta osoba ma większościowe prawo głosu. Nawet fakt, że każdy z 4 wspólników posiada po 25% udziałów w spółce tego nie zmieni. Nie zmieni, bo wspólnik nr 1 posiada dodatkowe 10% udziału w spółce, tak więc tylko on wypełnia przesłankę posiadania więcej niż 25% ogólnej liczby głosów.
Nie zawsze trzeba zgłaszać beneficjenta rzeczywistego do rejestru
Utworzenie Centralnego Rejestru Beneficjentów Rzeczywistych stanowi realizację przepisów dyrektywy Parlamentu Europejskiego i Rady (UE) 2015/849 z 20 maja 2015 r. w sprawie zapobiegania wykorzystywaniu systemu finansowego do prania pieniędzy lub finansowania terroryzmu (tzw. IV dyrektywa AML). W ramach ustawy AML mamy, także przypadek, w którym instytucja obowiązana identyfikuje beneficjentów rzeczywistych swoich klientów tzn. w przypadku klienta, który jest osobą fizyczną prowadzącą działalność gospodarczą, wobec którego nie stwierdzono przesłanek lub okoliczności mogących wskazywać na sprawowanie kontroli nad nim przez inną osobę fizyczną lub osoby fizyczne przyjmuje się, że taki klient jest jednocześnie beneficjentem rzeczywistym. W takim, jednakże przypadku zachodzi okoliczność braku konieczności przekazania tej informacji do CRBR.
Warto wiedzieć jak zidentyfikować osobę i dlaczego trzeba ją zgłosić
We wcześniejszych latach wiele przepisów prawa zawierało w sobie zapisy w zakresie kar. Często jednak te kary były dość niskie co powodowało brak poważnego podejścia do obowiązków. Ostatnio wdrażane przepisy pokazują zmianę w tym podejściu i coraz częściej kary za brak wykonania obowiązków prawnych są wysokie. W przypadku niedopełnienia obowiązku zgłoszenia beneficjenta rzeczywistego może skutkować karą do 1 mln PLN dla spółki. Jeśli nie posiadają Państwo umiejętności do rozpoznania tego rodzaju osób warto skorzystać z profesjonalistów, którzy w tym pomogą.
